TL;DR: modelBridge is a local plugin for Adobe Premiere Pro that connects you to AI models via fal.ai. You pay for the plugin license and pay fal.ai separately for your own API usage. We don’t control the AI models, we don’t store your data on any server, we don’t see what you generate, and we’re not responsible for what the models produce. You must comply with all applicable laws in your country when using the plugin.
1. Agreement Overview
Section titled “1. Agreement Overview”These Terms & Conditions (“Terms”) govern your use of the modelBridge software plugin (“Plugin”) developed and operated by Niklaz Hallberg, sole trader, Stockholm, Sweden (“we”, “us”, “modelBridge”).
By purchasing, installing, or using the Plugin, you agree to these Terms. If you do not agree, do not use the Plugin.
These Terms apply globally to all users regardless of location. If any provision of these Terms conflicts with mandatory consumer protection laws in your jurisdiction, those mandatory laws prevail to the extent of the conflict — but the remainder of these Terms remain in full force.
2. Service Description
Section titled “2. Service Description”modelBridge is a CEP (Common Extensibility Platform) plugin for Adobe Premiere Pro. It provides a local, client-side user interface to AI models hosted on the fal.ai platform. The Plugin:
- Runs entirely on your local computer inside Adobe Premiere Pro
- Connects directly to fal.ai’s API using your own API key
- Does not host, train, operate, or control any AI models
- Does not operate backend servers — all data stays on your machine
- Does not provide any hosting, storage, transmission, or online publication service for user content
modelBridge is an interface tool, not an AI provider. We provide the panel; fal.ai provides the models.
The Plugin does not constitute an “intermediary service provider” or “hosting service provider” within the meaning of Regulation (EU) 2022/2065 (Digital Services Act), and no obligations applicable to online intermediary services are intended to apply.
Under Regulation (EU) 2024/1689 (EU AI Act), modelBridge is designed to function solely as a general-purpose user interface for accessing third-party AI systems. We do not place any AI system or general-purpose AI model on the market or put it into service within the meaning of Article 3 AI Act, and we do not act as a “provider” or “deployer” of high-risk AI systems under Article 26. Any obligations under the AI Act relating to classification, risk management, logging, human oversight, or fundamental-rights impact assessments remain with you and the relevant AI provider when you use AI systems in regulated use cases.
We may, at our sole discretion, extend support to additional Adobe applications (e.g. After Effects) in the future under the same license. We make no commitment or guarantee that such support will be developed or released.
Beta and Experimental Features
Section titled “Beta and Experimental Features”From time to time, we may label certain features or integrations as “beta”, “experimental”, or similar. Such features are provided without any commitment as to availability, performance, or fitness for any purpose, may be changed or discontinued at any time without notice, and are excluded from any service-related commitments or expectations.
3. License Grant
Section titled “3. License Grant”We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Plugin on one (1) computer at a time for the duration of your active license.
You may use the Plugin for both personal and commercial work (e.g. client projects, commercial video production). The license to use the Plugin is separate from any rights in content you generate — see Section 8.
You may not:
- Share, redistribute, sublicense, or resell the Plugin or your license key
- Reverse engineer, decompile, disassemble, or attempt to extract the source code
- Remove, alter, or obscure any proprietary notices, labels, or marks
- Use the Plugin in any automated, unattended, or bot-driven workflow without prior written permission
- Use a single license across multiple machines simultaneously
We reserve the right to modify the Plugin at any time, provided that such changes do not materially deprive you of the core functionality of the Plugin during your current prepaid term, except where such changes are required to comply with law or third-party terms.
4. Payment and Pricing
Section titled “4. Payment and Pricing”4.1 License Fee
Section titled “4.1 License Fee”The Plugin requires an active, paid license, billed on a recurring basis (for example, monthly or annually) at the then-current rate via LemonSqueezy. The exact billing period and price applicable to you will be shown at the time of purchase. LemonSqueezy acts as our Merchant of Record and is solely responsible for collecting and holding customer payments, processing billing, invoicing, and determining, collecting, and remitting applicable sales taxes, VAT, and similar indirect taxes where required by law.
You are responsible for any other taxes, duties, or levies arising from your use of the Plugin (such as income tax on revenue generated using the Plugin).
4.2 fal.ai API Costs — Your Responsibility
Section titled “4.2 fal.ai API Costs — Your Responsibility”In addition to the modelBridge license fee, you pay fal.ai directly for API usage (per-generation costs). These costs are entirely between you and fal.ai. modelBridge is not a party to your fal.ai billing relationship.
modelBridge displays estimated costs inside the Plugin as a convenience. You acknowledge and agree that any cost estimation or budgeting features in the Plugin are provided solely as a non-binding convenience tool and do not constitute financial advice, billing services, or any guarantee of the fees that fal.ai or any other third party will charge. You remain solely responsible for monitoring and managing your own API usage, account limits, and billing with fal.ai or any other provider, and any claims relating to API pricing, overcharging, or billing errors must be directed exclusively to that provider.
4.3 Refunds
Section titled “4.3 Refunds”Refund requests are handled by LemonSqueezy in accordance with their refund policy and applicable consumer protection laws. Where required by Directive 2011/83/EU and its national implementations, we will provide you with clear pre-contractual information about your right of withdrawal and the circumstances under which it is lost. Nothing in these Terms is intended to exclude any mandatory withdrawal rights that you have not validly waived in accordance with applicable law.
4.4 Price Changes
Section titled “4.4 Price Changes”We may change the price of the Plugin or available billing periods with at least 30 days’ notice, such changes taking effect only for future billing periods and not for the current prepaid term. You may cancel before the new price takes effect.
4.5 LemonSqueezy
Section titled “4.5 LemonSqueezy”modelBridge has no control over, and is not liable for, any failure by LemonSqueezy to process payments, issue refunds, or remit funds. If LemonSqueezy becomes insolvent or otherwise unable to fulfil its obligations, your rights and remedies in relation to payments or refunds lie exclusively against LemonSqueezy, without prejudice to any non-waivable consumer rights under applicable law.
5. Your Responsibilities
Section titled “5. Your Responsibilities”5.1 API Key Security
Section titled “5.1 API Key Security”You are responsible for obtaining, maintaining, and securing your own fal.ai API key. Your API key is stored locally on your machine by the Plugin in unencrypted form — it is never transmitted to modelBridge. If your API key is compromised, regenerate it immediately in your fal.ai account.
5.2 Compliance with Laws
Section titled “5.2 Compliance with Laws”You are solely responsible for ensuring that your use of the Plugin and any content you generate complies with all applicable laws, regulations, and third-party terms of service in your jurisdiction. This includes but is not limited to:
- Intellectual property laws (copyright, trademark, right of publicity)
- Content regulations (obscenity, defamation, hate speech)
- AI-specific regulations applicable in your jurisdiction (including, where applicable, Regulation (EU) 2024/1689 (EU AI Act), and any national AI-specific legislation in China, Brazil, or other jurisdictions)
- fal.ai’s Terms of Service and Acceptable Use Policy
- Export control laws and sanctions applicable to your use of US-based services (fal.ai is US-based)
- Data protection laws applicable to any personal data you include in prompts or media inputs
We do not represent or warrant that the Plugin, or any use of AI models accessed through it, is lawful in every jurisdiction. You are solely responsible for determining whether your use complies with any applicable regulations in your country.
5.3 No Monitoring Obligation
Section titled “5.3 No Monitoring Obligation”The Plugin operates locally on your device and does not transmit your prompts, inputs, or outputs to modelBridge. We have no technical ability to view, access, filter, or moderate any content you generate or process through the Plugin, and we have no obligation to monitor your use of the Plugin or investigate potential violations. You are solely responsible for ensuring that your use of the Plugin and any generated content complies with all applicable laws and third-party terms.
5.4 Prohibited Uses
Section titled “5.4 Prohibited Uses”You may not use the Plugin to:
- Generate content that violates applicable laws in your jurisdiction or the jurisdiction where the content is distributed
- Infringe on intellectual property rights of any third party
- Generate non-consensual intimate imagery or child sexual abuse material
- Impersonate real individuals or create deceptive deepfakes intended to mislead
- Circumvent safety filters or usage restrictions imposed by fal.ai or model providers
- Conduct any activity that would violate fal.ai’s Terms of Service
We reserve the right to terminate your license if we become aware of prohibited use.
6. Third-Party Services
Section titled “6. Third-Party Services”The Plugin integrates with the following third-party services, each governed by their own terms:
- fal.ai — AI model hosting and inference. Your use of fal.ai models is governed by fal.ai’s Terms of Service and the specific license terms of each model. modelBridge has no control over fal.ai’s service availability, pricing, model availability, or model behavior.
- LemonSqueezy — Payment processing and license management. Your purchase is governed by LemonSqueezy’s Terms of Service.
- Adobe Premiere Pro — Host application. The Plugin operates within Adobe’s CEP framework.
Adobe, Adobe Premiere Pro, and any related logos are trademarks of Adobe Inc. Use of these names is solely for identification of compatible host applications and does not imply any sponsorship, affiliation, or endorsement. Your relationship with Adobe, including licensing and support of Adobe software, is governed exclusively by Adobe’s terms, and modelBridge is not a party to that relationship.
We are not responsible for: interruptions, changes, deprecations, or discontinuations of any third-party service. If fal.ai changes its pricing, removes a model, experiences downtime, or alters its terms, modelBridge is not liable. If Adobe changes its CEP/UXP framework in a way that affects Plugin functionality, modelBridge is not liable.
Security incidents involving third parties: Any security incidents, data breaches, or unauthorized disclosures involving fal.ai’s systems or LemonSqueezy’s systems are the sole responsibility of those providers. modelBridge has no access to, and cannot control, those environments, and you must pursue any claims relating to such incidents directly against the relevant provider.
7. Third-Party Code and Open-Source Components
Section titled “7. Third-Party Code and Open-Source Components”The Plugin may include or link against third-party libraries, including open-source software distributed under separate license terms. To the extent required by those licenses, we will make applicable license texts and attributions available within the Plugin or on our website. In case of conflict between such third-party license terms and these Terms, the third-party license terms govern your use of the relevant component.
8. Intellectual Property
Section titled “8. Intellectual Property”8.1 Plugin
Section titled “8.1 Plugin”The Plugin, including its code, design, documentation, and branding, is the intellectual property of Niklaz Hallberg. Your license grants a right to use the Plugin — it does not transfer ownership.
8.2 Generated Content
Section titled “8.2 Generated Content”modelBridge does not claim any ownership of content you generate using the Plugin. Ownership and usage rights of generated content are determined by:
- fal.ai’s Terms of Service
- The specific license terms of the AI model used (e.g. some models have commercial licenses, others do not)
- Applicable copyright law in your jurisdiction
You acknowledge that AI models may inadvertently generate content that is similar or substantially similar to third-party works. modelBridge does not review, filter, or vet any models or outputs for intellectual property compliance and makes no representation that any model or output is non-infringing or suitable for your intended use. You are solely responsible for conducting any necessary copyright, trademark, or other intellectual property clearance before using outputs commercially or publicly.
9. Disclaimers and Limitation of Liability
Section titled “9. Disclaimers and Limitation of Liability”9.1 “As Is” Service
Section titled “9.1 “As Is” Service”THE PLUGIN IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
No Service Level Commitments. We do not provide any service-level agreements, uptime commitments, support response times, or feature roadmaps, and you acknowledge that the Plugin’s availability may be affected by third-party services and your local system environment.
We do not warrant that:
- The Plugin will be uninterrupted, error-free, or secure
- AI models will produce accurate, appropriate, or satisfactory results
- Cost estimates will match actual fal.ai charges
- Any specific AI model will remain available
- The Plugin will be compatible with future versions of Adobe Premiere Pro
9.2 Limitation of Liability
Section titled “9.2 Limitation of Liability”TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, modelBridge’s total aggregate liability to you for any and all claims arising from or related to the Plugin shall not exceed the total license fees you paid to modelBridge in the twelve (12) months preceding the event giving rise to the claim.
IN NO EVENT SHALL modelBridge BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Costs incurred from fal.ai API usage, including unexpected charges
- Content generated by AI models, including any legal claims arising from such content
- Actions taken by fal.ai, LemonSqueezy, Adobe, or any other third party
- Damages resulting from unauthorized access to your locally stored data or API key
9.3 Consumer Rights
Section titled “9.3 Consumer Rights”Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, gross negligence, or death/personal injury caused by negligence. If you are a consumer in the EU/EEA, you retain all mandatory consumer protection rights under applicable law, including rights under the Consumer Rights Directive (2011/83/EU), the Unfair Contract Terms Directive (93/13/EEC), and national implementations thereof.
9.4 Accessibility
Section titled “9.4 Accessibility”We aim to make the Plugin reasonably accessible, but we do not warrant compliance with any specific accessibility standard (such as WCAG). If you require accessibility-related adjustments, please contact us and we will consider reasonable improvements in future versions.
10. Indemnification
Section titled “10. Indemnification”You agree to indemnify, defend, and hold harmless Niklaz Hallberg and modelBridge from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Plugin
- Content you generate or distribute using the Plugin
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Your use of fal.ai’s services through the Plugin
This indemnification obligation does not apply to the extent that a claim arises solely from a defect in the Plugin itself (as opposed to your use of it or the output of third-party AI models).
11. Termination
Section titled “11. Termination”11.1 By You
Section titled “11.1 By You”You may cancel your license at any time through LemonSqueezy. Cancellation takes effect at the end of the current billing period. After termination, the Plugin stops functioning (license validation fails). Data stored locally on your machine remains yours.
11.2 By Us
Section titled “11.2 By Us”We may suspend or terminate your access if:
- You violate these Terms
- Your payment fails and is not resolved within a reasonable period
- We discontinue the Plugin entirely with at least 30 days’ prior notice, except where earlier discontinuation is required by law or by a third-party provider (such as fal.ai, LemonSqueezy, or Adobe)
11.3 Effect of Termination
Section titled “11.3 Effect of Termination”Upon termination, your license to use the Plugin ends immediately. You must uninstall the Plugin. Sections 8, 9, 10, and 13 survive termination.
If we permanently discontinue the Plugin, our liability is limited to providing a pro-rated refund of any prepaid license fees for the remaining unused portion of your current prepaid term, where required by mandatory consumer law. We have no obligation to provide replacement software, migration assistance, or continued updates, maintenance, or support beyond the date of discontinuation.
12. Force Majeure
Section titled “12. Force Majeure”modelBridge is not liable for failure or delay in performance caused by circumstances beyond reasonable control, including but not limited to: natural disasters, pandemics, war, government actions, internet infrastructure failures, fal.ai service outages, Adobe platform changes, or actions by third-party service providers.
13. Governing Law and Disputes
Section titled “13. Governing Law and Disputes”These Terms are governed by the laws of Sweden, without regard to conflict of law principles.
EU/EEA and UK Users
Section titled “EU/EEA and UK Users”If you are a consumer residing in the EU/EEA or the UK, you may bring proceedings in the courts of your place of residence where this is provided by mandatory law (including Regulation (EU) No 1215/2012). Nothing in these Terms deprives you of mandatory consumer protection rights under the law of your country of residence.
All Other Users
Section titled “All Other Users”For all other users, any dispute shall be subject to the exclusive jurisdiction of the courts of Stockholm, Sweden.
Class Action Waiver
Section titled “Class Action Waiver”To the maximum extent permitted by applicable law, you and modelBridge agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Plugin shall be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. This waiver does not apply where it is prohibited by mandatory consumer protection law in your jurisdiction.
EU Online Dispute Resolution
Section titled “EU Online Dispute Resolution”The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but may choose to do so voluntarily.
14. Changes to These Terms
Section titled “14. Changes to These Terms”We may update these Terms from time to time. Material changes will be communicated with at least 30 days’ notice via the modelBridge website and, where technically feasible, through the Plugin or via email through LemonSqueezy.
Your continued use of the Plugin after the effective date of updated Terms constitutes acceptance. If you disagree with any changes, cancel your license before the effective date.
15. Severability
Section titled “15. Severability”If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All remaining provisions continue in full force.
16. Entire Agreement
Section titled “16. Entire Agreement”These Terms, together with the Privacy Policy, constitute the entire agreement between you and modelBridge regarding the Plugin. They supersede all prior agreements, communications, and representations.
